These Terms of Service (“Terms”) govern your access to and use of the MYSTEREZ website, online store, products, content, features, and related services.

The website and online store are operated by MYSTEREZ INC, doing business as MYSTEREZ (“MYSTEREZ,” “we,” “us,” or “our”). Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to offer and sell our products to you.

Throughout these Terms, “Site” refers to the MYSTEREZ website, and “Services” refers collectively to the Site, online store, products, content, features, communications, and other services we provide.

By visiting the Site, creating an account, submitting an order, purchasing a product, or otherwise using the Services, you agree to these Terms and all policies incorporated into them by reference, including our:

• Privacy Policy;

• Refund Policy;

• Shipping Policy; and

• Any other policies or notices posted on the Site.

Please read these Terms carefully. If you do not agree to them, you may not access or use the Services.

1. Eligibility

By using the Services, you represent that:

• You are at least the age of majority in your state, province, or country of residence;

• You have the legal capacity to enter into a binding agreement; or

• You are using the Services with the permission and supervision of a parent or legal guardian who agrees to these Terms.

You may not use the Services where doing so would violate applicable law.

If you use the Services on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

We may revise these Terms from time to time to reflect changes to our business, the Services, applicable law, or our operating practices.

The current version will be posted on this page with an updated “Last Updated” date. Changes become effective when posted unless otherwise stated or required by law.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.

3. Online Store and Services

MYSTEREZ operates an online clothing and apparel store. Certain products, collections, promotions, or features may be offered exclusively online and may be available only in limited quantities.

We reserve the right, subject to applicable law, to:

• Modify, suspend, or discontinue any part of the Services;

• Add or remove products, features, or content;

• Limit the availability of products or Services;

• Limit sales by customer, household, account, payment method, address, geographic region, or jurisdiction;

• Refuse service where reasonably necessary;

• Restrict access to the Services; and

• Correct errors or inaccuracies.

We are not liable for a modification, suspension, or discontinuation of the Services, except where liability cannot legally be excluded.

4. Product Information

We make reasonable efforts to provide accurate product descriptions, photographs, measurements, sizing information, materials, colors, prices, and availability.

However:

• Colors may appear differently depending on your screen, device, lighting, and display settings;

• Product measurements may vary slightly because of manufacturing processes or the method used to measure an item;

• Handmade, printed, dyed, washed, distressed, embroidered, or otherwise individually produced items may have minor variations;

• Packaging may differ from images shown;

• Product images may include styling items or accessories that are not included unless expressly stated; and

• Product availability may change without notice.

You are responsible for reviewing product descriptions, sizing information, care instructions, and other available details before placing an order.

Minor variations that do not materially affect the product’s intended function are not necessarily defects.

Nothing in these Terms limits any warranty or consumer right that cannot legally be excluded.

5. Prices, Taxes, and Currency

Product prices are displayed on the Site and may change without notice.

The price applicable to your order is the price displayed during checkout when you submit the order, subject to correction of obvious errors.

Unless otherwise stated:

• Prices do not include applicable sales, use, value-added, customs, import, or similar taxes and charges;

• Shipping and handling charges may be added during checkout;

• Customers are responsible for customs duties, import taxes, brokerage fees, or similar charges imposed by their country or region; and

• Currency conversions may be performed by Shopify, a payment provider, or your financial institution.

Your financial institution may charge foreign transaction, currency conversion, or other fees. MYSTEREZ does not control and is not responsible for those fees.

Promotional prices, discounts, and offers may be modified or withdrawn at any time before an order is accepted, unless prohibited by law.

6. Orders and Order Acceptance

Submitting an order is an offer to purchase the products listed in the order. An order confirmation acknowledges receipt of your order but does not necessarily constitute acceptance.

We may accept or reject an order in our reasonable discretion, subject to applicable law.

An order is accepted when we:

• Send confirmation that the order has been accepted or fulfilled;

• Ship the ordered product; or

• Otherwise expressly confirm acceptance.

We may refuse, limit, or cancel an order for reasons including:

• Product unavailability;

• Pricing or product-information errors;

• Suspected fraud or unauthorized activity;

• Payment authorization failure;

• Violation of these Terms;

• Shipping restrictions;

• Suspected resale or commercial redistribution;

• Duplicate or unusually large orders;

• Technical errors; or

• Legal or regulatory requirements.

If we cancel an order after payment has been collected, we will issue a refund to the original payment method, subject to payment-provider processing times.

We may contact you using the email address, telephone number, billing address, or shipping address provided with the order.

7. Billing and Account Information

You agree to provide current, complete, and accurate information when creating an account or placing an order.

You agree to promptly update information necessary to complete your transactions or contact you, including:

• Your name;

• Email address;

• Billing address;

• Shipping address;

• Telephone number; and

• Payment information.

You represent that you are authorized to use any payment method submitted through the Services.

We may use third-party payment processors to process transactions. Your payment information may be subject to the processor’s terms and privacy practices.

8. Payment Authorization

By submitting payment information, you authorize MYSTEREZ and its payment providers to charge the applicable payment method for:

• Product prices;

• Shipping and handling charges;

• Taxes;

• Duties or other charges collected at checkout; and

• Any other amounts clearly disclosed before you complete the purchase.

Your order may be delayed, suspended, or canceled if payment cannot be authorized or verified.

If a payment is later reversed, disputed, or charged back without a valid basis, we may suspend your account, cancel pending orders, or pursue other remedies allowed by law.

9. Customer Accounts

Certain features may require a customer account.

You are responsible for:

• Providing accurate account information;

• Maintaining the confidentiality of your login credentials;

• Restricting access to your account and device;

• All activity occurring through your account; and

• Promptly notifying us of suspected unauthorized access.

You may not:

• Create an account using false or misleading information;

• Impersonate another person or organization;

• Share or transfer your account in a way that creates a security risk;

• Use another person’s account without authorization; or

• Create accounts to evade restrictions, obtain unauthorized promotions, or engage in fraudulent activity.

We may suspend or terminate an account if we reasonably believe it has been compromised, used fraudulently, or used in violation of these Terms.

10. Shipping and Delivery

Shipping destinations, rates, estimated processing times, and estimated delivery times are described during checkout or in our Shipping Policy.

Shipping and delivery dates are estimates unless we expressly state otherwise. Delays may occur because of:

• Carrier delays;

• Weather;

• Customs inspections;

• Labor disruptions;

• High order volume;

• Incorrect or incomplete address information;

• Manufacturing or fulfillment delays;

• Natural disasters;

• Government actions; or

• Events beyond our reasonable control.

You are responsible for providing a complete and accurate shipping address.

MYSTEREZ is not responsible for delays or delivery failures caused by incorrect, incomplete, or outdated information supplied by the customer. Additional shipping charges may apply if an order must be redirected or reshipped.

Responsibility for loss or damage during shipping will be determined according to applicable law, the shipping method selected, carrier procedures, and our Shipping Policy.

You should inspect your order promptly after delivery and contact us within the period stated in our applicable policy if an item is missing, damaged, defective, or incorrect.

11. International Orders

International orders may be subject to:

• Customs inspections;

• Import restrictions;

• Duties;

• Taxes;

• Brokerage fees;

• Currency conversion; and

• Delays beyond our control.

Unless checkout expressly states that duties or taxes are included, the recipient is responsible for charges imposed by the destination country.

Customers are responsible for confirming that the products they order may lawfully be imported into their destination.

We are not responsible for orders delayed, held, rejected, abandoned, returned, or destroyed by customs because of a customer’s failure to pay required charges or comply with import requirements, except as otherwise required by law.

12. Returns, Exchanges, and Refunds

Returns, exchanges, cancellations, damaged-item claims, and refunds are governed by our Refund Policy in effect when your order is placed.

You are responsible for reviewing the Refund Policy before purchasing.

A product must satisfy the eligibility requirements stated in the Refund Policy. Those requirements may address matters such as:

• Return deadlines;

• Product condition;

• Original packaging;

• Proof of purchase;

• Excluded or final-sale products;

• Return authorization;

• Return shipping costs; and

• Refund processing times.

Nothing in our Refund Policy or these Terms limits any right or remedy that cannot legally be waived.

13. Promotions and Discount Codes

Promotions, discount codes, giveaways, contests, gifts with purchase, and similar offers may be subject to additional terms.

Unless otherwise stated:

• Promotions are available for a limited time;

• Promotions have no cash value;

• Discount codes cannot be combined;

• Discounts cannot be applied to previous purchases;

• Promotions may exclude certain products or collections;

• Free-shipping promotions may exclude certain destinations or shipping methods;

• Offers are limited to one per customer or household;

• Discounts may not apply to taxes, duties, or shipping charges; and

• Promotions are void where prohibited.

We may cancel or refuse a promotion when we reasonably believe there has been an error, fraud, abuse, unauthorized duplication, manipulation, or violation of the promotion’s terms.

14. Gift Cards and Store Credit

Gift cards and store credit, when offered, are subject to the terms displayed at the time of issuance or purchase.

Unless prohibited by law:

• Gift cards and store credit are not redeemable for cash;

• They may not be resold or transferred for value;

• They may be canceled if obtained fraudulently;

• They may be applied only to eligible purchases; and

• Lost or stolen codes may not be replaced without satisfactory proof of purchase.

Expiration dates and fees, if any, will be governed by applicable law and the terms provided with the gift card or credit.

15. Resale Restrictions

Products sold through the Services are intended primarily for personal use unless MYSTEREZ has approved a wholesale or resale arrangement in writing.

You may not purchase products for unauthorized commercial resale, redistribution, export, or marketplace listing.

We may limit or cancel orders that appear to be placed by unauthorized resellers, distributors, bots, purchasing agents, or other commercial buyers.

16. Intellectual Property

The Services and their contents are owned by or licensed to MYSTEREZ and are protected by applicable intellectual-property laws.

Protected material may include:

• The MYSTEREZ name and logos;

• Trademarks and trade dress;

• Product and collection names;

• Clothing designs and artwork;

• Graphics and illustrations;

• Photographs and videos;

• Website designs and layouts;

• Written copy;

• Audio;

• Software;

• Icons;

• Promotional materials; and

• Other content displayed through the Services.

Except as expressly allowed by these Terms or applicable law, you may not:

• Copy;

• Reproduce;

• Modify;

• Publish;

• Display;

• Distribute;

• Sell;

• License;

• Create derivative works from;

• Scrape;

• Download in bulk;

• Reverse engineer; or

• Commercially exploit

any part of the Services or MYSTEREZ content without our prior written permission.

MYSTEREZ grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for lawful personal shopping purposes.

No license or ownership interest is transferred to you except as expressly stated.

17. Product Designs and Counterfeiting

MYSTEREZ product designs, artwork, prints, graphics, branding, photographs, and creative elements may be protected by copyright, trademark, trade-dress, design, unfair-competition, or other laws.

You may not manufacture, commission, advertise, distribute, or sell counterfeit or unauthorized reproductions of MYSTEREZ products or designs.

We reserve all rights and remedies concerning unauthorized copying, counterfeiting, or misuse of our intellectual property.

18. User Content

The Services may allow you to submit or publish reviews, comments, photographs, videos, social-media posts, testimonials, contest entries, suggestions, or other materials (“User Content”).

You retain ownership of your original User Content.

By submitting User Content to MYSTEREZ or tagging, mentioning, or directly sharing content with us for possible use, you grant MYSTEREZ a worldwide, nonexclusive, royalty-free, sublicensable, transferable license to use, reproduce, adapt, edit, publish, translate, distribute, display, and create derivative works from that User Content in connection with:

• Operating the Services;

• Promoting MYSTEREZ;

• Advertising our products;

• Social media;

• Email marketing;

• Website content;

• Printed marketing materials; and

• Other business communications.

This license continues for as long as reasonably necessary for the purposes for which the content was used, subject to applicable law.

You represent that:

• You own the User Content or have all permissions necessary to submit it;

• The content is accurate to the best of your knowledge;

• Our permitted use will not violate another party’s rights;

• Any identifiable person shown has consented to the submission and permitted use; and

• The content complies with these Terms.

We are not required to publish, maintain, compensate, or respond to User Content.

We may remove or restrict User Content that violates these Terms or that we reasonably consider unlawful, deceptive, infringing, threatening, harassing, obscene, defamatory, harmful, or otherwise inappropriate.

19. Feedback and Suggestions

You may voluntarily provide ideas, concepts, designs, proposals, improvements, or other feedback.

Unless we separately agree in writing:

• Feedback is not confidential;

• We are not required to review or use it;

• We are not required to compensate you; and

• We may use the feedback for any lawful business purpose.

Do not submit confidential business information or material belonging to another person without authorization.

20. Prohibited Uses

You may not use the Services to:

• Violate any applicable law or regulation;

• Commit or encourage fraud or other unlawful conduct;

• Infringe intellectual-property, privacy, publicity, or other rights;

• Harass, threaten, defame, abuse, discriminate against, or harm another person;

• Submit false, deceptive, or misleading information;

• Impersonate another person or misrepresent your affiliation;

• Transmit viruses, malware, malicious code, or destructive content;

• Interfere with the operation or security of the Services;

• Attempt to gain unauthorized access to an account, system, or network;

• Circumvent security, access-control, purchase-limit, or fraud-prevention measures;

• Scrape, crawl, spider, harvest, data-mine, or extract content through automated means without written permission;

• Use bots or automated purchasing tools;

• Collect personal information about others without authorization;

• Spam, phish, pharm, pretext, or engage in deceptive communications;

• Manipulate reviews, ratings, promotions, inventory, or pricing;

• Place fraudulent orders or initiate abusive payment disputes;

• Resell products without authorization;

• Test the vulnerability of a system without permission;

• Use the Services to train an artificial-intelligence system or machine-learning model without our written permission; or

• Assist another person in doing any prohibited act.

We may investigate suspected violations and cooperate with payment providers, carriers, platforms, law-enforcement agencies, or other appropriate parties.

21. Privacy

Our collection, use, disclosure, and processing of personal information are governed by our Privacy Policy.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

22. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, payment providers, social networks, applications, tools, or services.

Third-party services are independently operated and may be governed by their own terms and privacy policies.

We do not control and are not responsible for:

• Third-party content;

• Third-party privacy or security practices;

• Third-party products or services;

• The availability or accuracy of third-party services; or

• Transactions entered into directly with third parties.

A link or integration does not necessarily mean that MYSTEREZ endorses the third party.

You should review the third party’s terms and policies before using its services or providing information.

23. Shopify

Our store is hosted by Shopify. Shopify provides technology and ecommerce services that support the Site, checkout, payments, customer accounts, and related functions.

Your use of certain Shopify-powered features may also be subject to Shopify’s applicable terms and privacy practices.

MYSTEREZ is responsible for the products it sells and its relationship with its customers. Shopify is not the seller of MYSTEREZ products.

24. Errors and Inaccuracies

The Services may occasionally contain typographical errors, inaccuracies, omissions, outdated information, or technical errors concerning matters such as:

• Product descriptions;

• Images;

• Sizes;

• Materials;

• Pricing;

• Discounts;

• Promotions;

• Availability;

• Shipping charges;

• Delivery estimates; and

• Inventory.

We may correct or update information and cancel or modify affected orders when reasonably necessary, including after an order is submitted.

If an order is canceled because of our error after payment has been collected, we will refund the applicable amount.

We are not required to honor an obviously incorrect price or promotion where a reasonable customer would recognize that an error occurred, subject to applicable law.

25. Availability and Technical Operation

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

Access may be interrupted because of:

• Maintenance;

• Updates;

• Technical failures;

• Internet or telecommunications outages;

• Security incidents;

• Third-party service failures; or

• Events outside our reasonable control.

We may temporarily restrict access to maintain, protect, update, or improve the Services.

26. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Except for warranties expressly provided by MYSTEREZ or required by law, MYSTEREZ disclaims all express, implied, and statutory warranties, including implied warranties of:

• Merchantability;

• Fitness for a particular purpose;

• Title;

• Noninfringement;

• Accuracy;

• Availability; and

• Quiet enjoyment.

We do not warrant that:

• The Services will satisfy every customer’s requirements;

• Access will be uninterrupted or error-free;

• All defects will be corrected;

• The Services will be free from harmful components; or

• Information obtained through the Services will always be accurate or complete.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.

Nothing in these Terms excludes warranties or consumer protections that cannot legally be excluded.

27. Limitation of Liability

To the fullest extent permitted by law, MYSTEREZ INC and its affiliates, officers, directors, employees, agents, contractors, licensors, suppliers, service providers, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to:

• Your use of or inability to use the Services;

• Products purchased through the Services;

• Unauthorized access to your account;

• Loss of data;

• Loss of profits or revenue;

• Business interruption;

• Third-party conduct;

• Shipping delays; or

• Content available through the Services.

To the fullest extent permitted by law, MYSTEREZ’s total aggregate liability for a claim relating to a particular order or product will not exceed the amount you paid to MYSTEREZ for the product or order giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if we were advised that damages were possible.

These limitations do not apply to liability that cannot legally be limited, which may include liability for fraud, intentional misconduct, gross negligence, personal injury caused by negligence, or violation of nonwaivable consumer rights.

Some jurisdictions do not allow certain liability limitations. In those jurisdictions, our liability is limited only to the maximum extent permitted by law.

28. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless MYSTEREZ INC and its affiliates, officers, directors, employees, agents, contractors, licensors, suppliers, service providers, and representatives from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from:

• Your material violation of these Terms;

• Your unlawful or unauthorized use of the Services;

• Your User Content;

• Your infringement of another person’s rights; or

• Your violation of applicable law.

This section does not require you to indemnify a party for that party’s own unlawful conduct, negligence, or wrongdoing to the extent prohibited by law.

We may assume control of the defense of a covered claim, and you agree to reasonably cooperate with that defense.

29. Suspension and Termination

These Terms remain effective while you use the Services.

You may stop using the Services at any time.

We may suspend or terminate access to all or part of the Services if we reasonably believe that:

• You violated these Terms;

• Your account has been compromised;

• Your activity presents fraud, security, or legal risk;

• Your use may harm MYSTEREZ, another user, or a third party; or

• Suspension or termination is required by law or a service provider.

Termination does not affect obligations incurred before termination, including payment obligations, intellectual-property rights, disclaimers, liability limitations, indemnification obligations, and dispute provisions.

30. Governing Law

These Terms and any dispute arising from or relating to the Services or a purchase from MYSTEREZ are governed by the laws of the State of Kansas, without regard to conflict-of-laws principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply, to the extent its exclusion is legally permitted.

Mandatory consumer-protection laws in your place of residence may still apply and are not waived by this section.

31. Dispute Resolution and Venue

Before filing a legal claim, you and MYSTEREZ agree to make a reasonable, good-faith effort to resolve the dispute informally.

A customer may begin this process by emailing team@mysterez.com with:

• Their full name;

• Order number, if applicable;

• A description of the issue; and

• The requested resolution.

If the dispute cannot be resolved informally, and unless applicable law permits or requires otherwise, claims will be brought in a state or federal court with jurisdiction over Manhattan, Kansas.

You and MYSTEREZ consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents either party from:

• Bringing an eligible claim in small-claims court;

• Seeking emergency or injunctive relief for misuse of intellectual property, fraud, or security threats; or

• Exercising a consumer right that cannot legally be restricted.

32. Force Majeure

MYSTEREZ is not responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including:

• Natural disasters;

• Severe weather;

• Fire;

• Flood;

• Epidemics or public-health emergencies;

• War;

• Terrorism;

• Civil unrest;

• Government action;

• Embargoes;

• Labor disputes;

• Transportation interruptions;

• Carrier disruptions;

• Utility failures;

• Internet outages;

• Cyberattacks;

• Supplier failures; or

• Manufacturing shortages.

This section does not limit rights or remedies that cannot legally be excluded.

33. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will remain in effect.

34. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

A waiver is effective only if made in writing by an authorized representative of MYSTEREZ.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of our business, subject to applicable law.

36. Entire Agreement

These Terms, together with the policies and notices incorporated by reference, constitute the entire agreement between you and MYSTEREZ concerning the Services.

They replace prior or contemporaneous communications and agreements concerning the same subject matter.

If a specific promotion, product, or service has additional written terms, those additional terms will apply to that promotion, product, or service. If those additional terms conflict with these Terms, the more specific terms will control for that matter.

37. Electronic Communications

By using the Services, you consent to receive transactional communications electronically, including:

• Order confirmations;

• Payment notices;

• Shipping updates;

• Account notices;

• Customer-service responses;

• Policy updates; and

• Legal notices.

Electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

Marketing communications are governed by your communication preferences and applicable law.
